The Opportunity

The Director, Securities and Corporate Counsel will report directly to the General Counsel and Corporate Secretary and will be responsible for managing or supporting general corporate and securities matters, providing primary legal support to MariaDB's Finance and other G&A departments, and advising on business development and financing transactions. This role will work closely with cross-functional partners, especially in Finance, Treasury, Stock Administration, Investor Relations, and Business Development. In carrying out the responsibilities of this position, Counsel will help manage the department's outside counsel. Counsel will also regularly interact with senior executives across the organization, including the Chief Financial Officer and Chief Revenue Officer, as well as the Board of Directors.

The successful candidate for this position will have significant experience with corporate governance matters, SEC reporting, and licensing and M&A transactions and have a strong business acumen with an ability to balance legal and operational risks when providing advice to internal clients.

Responsibilities

  • Take a leading role in drafting and reviewing SEC filings, including proxy statements, 10-Ks, 10-Qs, 8-Ks, S-8s, Section 16 filings and any other necessary public company filings.
  • Monitor, advise and ensure compliance with securities laws/SEC, NYSE listing requirements, and Irish Law, including potential impact of new and proposed securities laws and regulations, NYSE rule changes, proxy advisor guidance and developments and trends in corporate governance.
  • Support all public company governance and compliance matters (e.g., earnings release process, stockholders' meetings, investor days, etc.) and collaborate with finance, accounting, investor relations, and public relations teams on earnings-related materials and other disclosures to the investor community.
  • Assist with corporate governance matters, including board, committee and shareholder matters, and maintenance of related policies and charters. Such support may include assisting the General Counsel with drafting agendas, preparing or reviewing board and committee meeting materials, and drafting or review of minutes and resolutions.
  • Assist on executive and director compensation matters, including providing advice and counsel on matters relating to plan documentation and related securities matters and working closely with Human Resources and Stock Administration on equity award documentation and processes.
  • Participate in and advise on disclosure and other issues related to environmental, social and governance (ESG) initiatives and programs and also concerning compliance initiatives including training internal clients on company legal policies or issues, including code of conduct, ethics, insider trading and anti-bribery and anti-corruption issues.
  • Provide support for M&A, business development and all types of financing transactions, including licensing, acquisitions, mergers and other strategic transactions, as well as securities offerings.
  • Oversee entity management and proper governance/compliance for U.S. entities, parent entity in Ireland, and all other global subsidiaries.
  • Partner with Tax and Finance teams to oversee and implement global corporate strategies.

Qualifications

  • Law degree from U.S. accredited law school and active membership in at least one U.S. State bar
  • Expertise with 1933, 1934, and 1940 Acts
  • Minimum of seven (7) years of legal experience at a premier law firm, or a mix of law firm and in-house experience, with prior in-house experience a strong plus
  • Broad experience representing public companies with U.S. corporate and securities law matters, including SEC reporting, NYSE compliance and state law corporate matters
  • Proficient drafting and legal technical skills, with keen attention to detail
  • Excellent interpersonal skills with high initiative, flexibility and ability to collaborate cross functionally
  • Effective communicator, with the ability to convey complex ideas in a clear, concise manner both verbally and in writing
  • Self-starter who thrives and can multitask in fast-paced and often ambiguous environment; ability to meet deadlines, prioritize and manage multiple projects concurrently
  • Comfortable in business and technical discussions, prior database and/or SaaS experience is a strong plus

Compensation

The annual anticipated U.S. base salary range for this full-time position is $165,000 - $240,000. Additionally, this role may be eligible for discretionary bonuses or commissions. Actual salaries may vary and fall outside of this range depending on factors such as a candidate's qualifications, geographic location, skills, experience, and competencies. Salaries for candidates outside the U.S. will vary based on local compensation structures.

In addition, we are often open to a wide variety of profiles, and recognize that the person we hire may be less experienced (or more senior) than the job description as posted. Salary is one component of MariaDB's total rewards package, which (subject to eligibility requirements) may include equity ownership, health insurance, life, and disability insurance, funds toward professional development resources, Paid-Time-Off, paid holidays, and parental leave, just to name a few!
